CHAPTER 1

PRELIMINARY PROVISIONS

ARTICLE 1

Short Title

1.1 This Constitution shall be known as the Constitution of the Digital Media Journalist & Content Creator Association (DMJCCA).

1.2 It shall serve as the supreme governing document of the Association and shall regulate its administration, governance, membership, organizational structure, powers, duties, financial management, disciplinary procedures, and all matters relating to the functioning of the Association.

1.3 This Constitution shall come into force on the date of its adoption by the Founding Executive Committee and shall remain in effect until amended or replaced in accordance with the provisions contained herein.

ARTICLE 2

Name of the Association

2.1 The official name of the organization shall be:

2.2 The abbreviated name shall be:

DMJCCA

2.3 The Association may also be referred to as:

DMJCCA

The National Association

The Organization

2.4 The official tagline shall be:

“United Voice of India’s Digital Media Community.”

ARTICLE 3

Nature of the Association

3.1 DMJCCA is established as an independent, voluntary, non-profit, non-political, non-governmental, and professional organization.

3.2 The Association has been formed to promote the welfare, professional development, ethical standards, and collective interests of Digital Journalists, Social Media Journalists, Independent Reporters, and Digital Content Creators across India.

3.3 The Association shall function exclusively for lawful purposes and shall not promote or support any activity prohibited under the laws of India.

3.4 The Association shall maintain political neutrality and shall not endorse or campaign for any political party or candidate. Individual members remain free to exercise their constitutional rights in their personal capacity.

3.5 The Association shall work towards strengthening ethical digital journalism, media literacy, responsible content creation, innovation, professional networking, education, and public awareness.

ARTICLE 4

Legal Status

4.1 Upon registration under the applicable law, DMJCCA shall become a legal entity capable of:

Holding movable and immovable property.

Entering into lawful agreements.

Opening and operating bank accounts.

Receiving donations, grants, sponsorships, and contributions.

Instituting or defending legal proceedings.

Acquiring intellectual property.

Employing staff and consultants.

Establishing offices across India.

Performing all lawful acts necessary to achieve its objectives.

4.2 Until formal registration is completed, the Founding Committee may undertake preparatory activities such as membership enrollment, organizational planning, awareness campaigns, website development, and establishment of interim administrative structures, subject to applicable law.

ARTICLE 5

Registered Office

5.1 The Registered Office of the Association shall be established at a location approved by the National Executive Council.

5.2 The Registered Office may be shifted within India by a resolution of the National Executive Council in accordance with applicable legal requirements.

5.3 The Association may establish:

State Offices

District Offices

City Offices

Digital Offices

Training Centres

Media Resource Centres

as required for efficient administration.

ARTICLE 6

Area of Operation

6.1 The Association shall operate throughout the territory of the Republic of India.

6.2 The Association may establish State Chapters, Union Territory Chapters, District Chapters, City Chapters, Taluka Chapters, Block Chapters, and Institutional Chapters.

6.3 Subject to applicable laws, the Association may collaborate with international organizations, professional bodies, universities, media institutions, and digital platforms.

ARTICLE 7

Official Language

7.1 The official language of the Association shall be English.

7.2 Hindi shall be used as an official communication language wherever appropriate.

7.3 The Association may publish documents, notices, training materials, and educational resources in English, Hindi, and other Indian languages to promote inclusiveness.

ARTICLE 8

Official Logo

8.1 The official logo approved by the Founder and adopted by the National Executive Council shall be the exclusive property of the Association.

8.2 No person shall reproduce, alter, distribute, or commercially use the logo without prior written authorization.

8.3 Unauthorized use of the logo may result in disciplinary action and legal proceedings.

ARTICLE 9

Official Seal

9.1 The Association shall maintain an Official Seal for authenticating important documents.

9.2 The Official Seal shall be used only with the authorization of the National President or an officer authorized by the National Executive Council.

ARTICLE 10

Official Flag (Future Provision)

10.1 The Association may adopt an official flag, emblem, or ceremonial banner through a resolution of the National Executive Council.

10.2 The design and protocol for its use shall be prescribed separately.

11.1 The official website of the Association shall be:

11.3 The Association may also operate official accounts on social media and digital communication platforms.

ARTICLE 12

Official Email Communication

12.1 Official communication shall be made through email addresses approved by the Association.

12.2 Electronic communication issued from official Association domains shall be treated as valid official communication.

13.1 The Association shall maintain accurate records of:

13.2 Records may be maintained in both physical and electronic form.

ARTICLE 14

Interpretation

14.1 Words importing the singular include the plural and vice versa, where the context so requires.

14.2 References to one gender include all genders.

14.3 Headings are inserted for convenience only and shall not affect interpretation.

14.4 In case of ambiguity, the interpretation that best advances the objectives of the Association and complies with applicable law shall prevail.

ARTICLE 15

Definitions

Unless the context otherwise requires:

Association means the Digital Media Journalist & Content Creator Association (DMJCCA).

Founder means the individual who established DMJCCA and is recognized under this Constitution.

National President means the elected or constitutionally appointed executive head of the Association.

National Executive Council means the principal executive body responsible for administration.

General Body means all eligible members collectively.

Member means any individual whose membership has been duly approved by the Association.

Office Bearer means any elected or appointed official holding an office under this Constitution.

Committee means any committee established under this Constitution.

Digital Journalist means a person engaged in the collection, verification, production, or dissemination of news or public-interest information through digital platforms.

Content Creator means an individual producing original digital content for online platforms, including video, audio, text, graphics, or other digital media.

Social Media Journalist means a journalist who primarily reports, publishes, or disseminates journalistic content through social media platforms.

Digital Membership Card means the official membership identification issued by the Association.

QR Verification means the digital verification system maintained by the Association to authenticate membership status.

ARTICLE 16

Objectives of Interpretation

This Constitution shall always be interpreted to:

Protect the independence of the Association.

Promote ethical journalism and responsible content creation.

Ensure transparency, accountability, and good governance.

Protect the rights of members.

Advance the Association’s Vision and Mission.

Encourage professionalism and innovation.

Maintain compliance with the laws of India.

ARTICLE 17

Supremacy of the Constitution

17.1 This Constitution shall be the supreme governing document of the Association.

17.2 All Bylaws, Policies, Rules, Regulations, Circulars, Guidelines, Committee Decisions, and Administrative Orders shall conform to this Constitution.

17.3 If any subordinate document conflicts with this Constitution, the provisions of this Constitution shall prevail.

ARTICLE 18

Saving Clause

18.1 Any matter not expressly provided for in this Constitution shall be decided by the National Executive Council, subject to the objectives of the Association and applicable law.

18.2 Such decisions shall not override any mandatory provision of this Constitution and may subsequently be incorporated through a formal amendment process.

CHAPTER 2

VISION, MISSION, CORE VALUES & OBJECTIVES

ARTICLE 19

Vision of the Association

19.1 The Vision of the Digital Media Journalist & Content Creator Association (DMJCCA) is to establish a unified, credible, and nationally respected professional organization representing Digital Journalists, Social Media Journalists, Independent Reporters, and Digital Content Creators across India.

19.2 The Association shall strive to become the leading institution that promotes ethical journalism, responsible digital communication, creativity, innovation, professional excellence, and public trust in the digital media ecosystem.

19.3 The Association envisions a future where every Digital Journalist and Content Creator has access to professional identity, skill development, legal awareness, networking opportunities, leadership development, and equal opportunities for growth regardless of geographical location, language, or organizational affiliation.

19.4 The Association shall work towards building a professional community founded upon truth, integrity, accountability, innovation, respect for constitutional values, and responsible freedom of expression.

19.5 Through collaboration with educational institutions, media organizations, government agencies, industry experts, technology companies, and civil society, the Association shall contribute to strengthening India’s democratic values and digital information ecosystem.

ARTICLE 20

Mission of the Association

20.1 The mission of DMJCCA is to unite India’s Digital Journalists and Content Creators under one trusted national platform dedicated to professional growth, ethical standards, innovation, education, and collaborative development.

20.2 The Association shall actively work to:

a. Promote ethical and responsible digital journalism.

b. Encourage fact-based reporting and responsible storytelling.

c. Build a nationwide network of media professionals.

d. Organize educational and professional development programs.

e. Create leadership opportunities for members.

f. Promote innovation in digital communication.

g. Facilitate collaboration among journalists, creators, educators, and institutions.

h. Increase awareness regarding digital rights, cyber laws, media ethics, copyright, and intellectual property.

i. Encourage professional excellence through continuous learning.

j. Represent the legitimate interests of members within the scope of applicable laws.

ARTICLE 21

Constitutional Objectives

The Association shall pursue the following constitutional objectives:

21.1 To enhance the knowledge, skills, and professional capabilities of members through training, workshops, seminars, conferences, certifications, and digital learning initiatives.

Ethical Journalism

21.2 To encourage accuracy, fairness, transparency, accountability, and responsible journalism across all digital media platforms.

Content Creation Excellence

21.3 To promote high-quality digital content that educates, informs, inspires, and contributes positively to society.

Media Literacy

21.4 To improve digital and media literacy among citizens through educational initiatives and awareness campaigns.

Research

21.5 To undertake research and publish studies relating to digital media, journalism, technology, artificial intelligence, public communication, and emerging trends.

Innovation

21.6 To encourage innovation in journalism, storytelling, technology, multimedia production, and digital communication.

National Collaboration

21.7 To establish partnerships with universities, educational institutions, professional bodies, government organizations, corporate entities, NGOs, and international organizations for lawful collaborative initiatives.

21.8 To strengthen the capabilities of Digital Journalists and Content Creators through continuous education and mentorship.

21.9 To provide members with a recognized professional identity within the Association through digital membership systems.

The Association shall conduct all its activities in accordance with the following guiding principles:

Administrative and financial processes shall be conducted transparently.

Office bearers and members shall remain accountable for their decisions and actions.

Professionalism

Every member shall uphold the dignity and reputation of the digital media profession.

Inclusiveness

Membership shall be open without discrimination based on religion, caste, language, gender, region, disability, or economic background, subject to eligibility requirements.

Independence

The Association shall remain independent in its governance and decision-making.

Innovation

The Association shall encourage innovation and adoption of emerging technologies for professional growth.

Public Interest

The welfare of society and the public interest shall remain an important consideration in the Association’s initiatives.

ARTICLE 24

Long-Term Strategic Goals

The Association shall endeavor to achieve the following long-term goals:

Build India’s largest verified network of Digital Journalists and Content Creators.

Establish active chapters in every State and Union Territory.

Establish District Chapters throughout India.

Develop a comprehensive Digital Media Training Academy.

Launch a national online learning platform.

Develop a secure digital membership verification system.

Organize annual National Digital Media Summits.

Promote professional certification programs.

Publish research reports on digital journalism and content creation.

Create a national resource library for media professionals.

Facilitate responsible collaboration between creators and industry stakeholders.

Promote ethical standards and combat misinformation through education and awareness.

ARTICLE 25

Non-Political Character

25.1 The Association shall remain politically neutral and shall not affiliate itself with or campaign on behalf of any political party.

25.2 Members may hold personal political views; however, they shall not represent such views as the official position of the Association unless authorized.

25.3 The Association may engage with public institutions and policymakers solely for lawful advocacy related to digital media, journalism, education, and professional development.

ARTICLE 26

Public Interest Commitment

The Association recognizes that responsible journalism and content creation contribute to informed public discourse and democratic values. Accordingly, it shall encourage members to:

Verify information before publication.

Respect privacy and dignity.

Avoid misinformation and disinformation.

Promote constructive dialogue.

Respect the Constitution of India and the rule of law.

Uphold the principles of responsible freedom of expression.

ARTICLE 27

Commitment to Innovation

The Association shall encourage members to adopt emerging technologies, including artificial intelligence, data journalism, multimedia storytelling, digital publishing tools, and other innovations, while promoting ethical and lawful use.

ARTICLE 28

Commitment to Education

The Association shall foster a culture of lifelong learning by providing opportunities for:

Professional training.

Skill enhancement.

Mentorship.

Research.

Knowledge sharing.

Certification.

Academic collaboration.

ARTICLE 29

Commitment to National Development

The Association shall endeavor to contribute to India’s digital transformation by promoting responsible journalism, ethical communication, digital literacy, innovation, and professional excellence. It shall encourage members to participate in initiatives that strengthen public awareness, democratic values, social harmony, and sustainable development, while remaining independent and non-partisan.

CHAPTER 3

FOUNDER’S CHARTER

ARTICLE 30

Establishment of the Founder

30.1 The Digital Media Journalist & Content Creator Association (DMJCCA) has been conceived, established, and initiated by Mr. Rupesh Kumar Singh, who shall be permanently recognized as the Founder of the Association.

30.2 The Founder shall be acknowledged as the visionary who established the Association with the objective of creating a unified national platform for Digital Journalists and Content Creators throughout India.

30.3 The designation Founder is permanent, honorary, and constitutional in nature and shall not lapse due to resignation from any executive office.

30.4 The title of Founder shall remain attached to the individual who established the Association and shall not be transferred, reassigned, or replicated.

ARTICLE 31

Constitutional Recognition

31.1 The Founder shall be recognized as the Constitutional Guardian of the Association.

31.2 The Founder shall act as the custodian of the Association’s:

31.3 Every office bearer shall respect the constitutional position of the Founder.

Status of the Founder

ARTICLE 33

Role of the Founder

The Founder shall:

c. Promote unity among members.

d. Guide future leadership.

e. Protect the integrity of the Association.

f. Encourage innovation.

g. Promote ethical journalism.

h. Represent the Association in matters of national importance whenever required.

ARTICLE 34

Powers of the Founder

Subject to this Constitution and applicable law, the Founder shall have the following powers:

Recommend strategic initiatives.

Recommend constitutional reforms.

Recommend national expansion plans.

Advisory Powers

Advise the National Executive Council.

Advise State Chapters.

Advise Committees.

Institutional Powers

Protect the Association’s intellectual property.

Representation Powers

Represent the Association before:

ARTICLE 35

Founder as Constitutional Guardian

The Founder shall ensure that no policy, activity, or decision fundamentally alters or undermines the founding objectives, values, or identity of the Association.

The Founder may issue written observations or recommendations to the National Executive Council where, in the Founder’s opinion, a proposed action is inconsistent with the Association’s Vision, Mission, or Constitution. Such observations shall be formally considered and recorded by the Council.

ARTICLE 36

Founder Advisory Authority

The Founder may advise:

National Executive Council

State Presidents

District Presidents

The Founder shall not ordinarily interfere in routine administrative matters unless requested or where constitutional concerns arise.

ARTICLE 37

Founder Nomination Powers

Until the first constitutional election of the Association:

The Founder shall have authority to appoint:

Interim National President (if different from the Founder)

State Presidents

State Executive Members

District Presidents

Advisory Council

Constitutional Drafting Committee

Membership Committee

Such appointments shall remain effective until replaced through constitutional procedures.

ARTICLE 38

Founder Recommendation Powers

The Founder may recommend:

Constitutional amendments.

National policies.

Strategic collaborations.

Creation of new departments.

Creation of committees.

Establishment of State Chapters.

Establishment of District Chapters.

Institutional partnerships.

These recommendations shall be placed before the competent constitutional authority for consideration.

ARTICLE 39

Founder Approval on Constitutional Identity

The following matters shall require consultation with the Founder during the Founder’s lifetime before implementation, except where prohibited by law:

Where the Founder is unavailable or unable to act, the National Executive Council may proceed in accordance with the Constitution and applicable law.

ARTICLE 40

Founder Emergency Authority

Where an emergency threatens the functioning, reputation, assets, or constitutional integrity of the Association, the Founder may request the National President to convene an Extraordinary Meeting of the National Executive Council.

If immediate action is necessary and the National President is unable or unwilling to convene such meeting within a reasonable period, the Founder may call for an Extraordinary Constitutional Meeting. Any emergency measures adopted shall be placed before the National Executive Council for ratification at the earliest opportunity.

ARTICLE 41

Founder and National President

41.1 The Founder may also hold the office of National President.

41.2 When holding both positions simultaneously, the Founder shall exercise executive authority as National President and constitutional responsibilities as Founder.

41.3 If the Founder does not hold executive office, the constitutional role of Founder shall continue.

ARTICLE 42

Founder as Ex-Officio Member

The Founder shall be an ex-officio member of:

Finance Committee

Legal Cell

Constitutional Review Committee

The Founder may attend meetings personally or nominate a representative where permitted.

ARTICLE 43

Founder Address

The Founder may deliver:

Special Messages

These shall form part of the official records of the Association.

ARTICLE 44

Protection of Founding Principles

No office bearer shall knowingly undertake actions that fundamentally alter the founding philosophy of the Association without following the constitutional amendment process.

ARTICLE 45

Founder Emeritus

Upon voluntarily relinquishing executive office, the Founder shall automatically hold the honorary title of Founder Emeritus, retaining ceremonial precedence, advisory status, and the constitutional role defined in this Chapter, unless the Founder expressly declines such designation.

ARTICLE 46

Founder Resignation from Executive Office

Resignation from any executive office shall not affect the Founder’s constitutional recognition as Founder.

ARTICLE 47

Founder Incapacity

If the Founder is temporarily unable to discharge constitutional functions due to illness or other incapacity, those advisory functions shall remain in abeyance until the Founder resumes them. Routine administration shall continue under the National President and National Executive Council.

ARTICLE 48

Protection of Founder Title

The title:

shall be reserved exclusively for the individual who established DMJCCA.

No other person shall use:

without a resolution approved by the National Executive Council and consistent with the historical facts of the Association.

ARTICLE 49

Recognition of Founder’s Contribution

The Association shall appropriately acknowledge the Founder’s contribution in official publications, historical records, and ceremonial occasions, while ensuring that governance remains institution-based and in accordance with this Constitution.

ARTICLE 50

Interpretation of the Founder’s Charter

This Chapter shall be interpreted harmoniously with the remaining provisions of the Constitution and applicable law.

Where any provision of this Chapter conflicts with a mandatory requirement of the governing law applicable to the registered Society, the legal requirement shall prevail to the extent of the inconsistency, without affecting the Founder’s honorary status and constitutional recognition.

CHAPTER 4

THE NATIONAL PRESIDENT

ARTICLE 51

Office of the National President

51.1 The National President shall be the Chief Executive Officer and principal administrative head of the Association.

51.2 The National President shall be responsible for implementing the Vision, Mission, Objectives, Constitution, Bylaws, policies, and resolutions of the Association.

51.3 The National President shall provide strategic leadership and ensure the effective administration, growth, and national expansion of the Association.

51.4 The National President shall act honestly, transparently, professionally, and in the best interests of the Association.

ARTICLE 52

Position and Status

52.1 The National President shall be the highest executive office bearer of the Association.

52.2 During the tenure of office, the National President shall exercise executive authority subject to this Constitution and applicable law.

52.3 The National President shall represent the Association before:

Judiciary (where authorized)

Media Organizations

Corporate Bodies

Educational Institutions

National Commissions

International Organizations

Public Authorities

ARTICLE 53

Eligibility

A person shall be eligible to become National President if he/she:

Is a member in good standing.

Has not been convicted of an offence involving moral turpitude (subject to applicable law and rehabilitation where relevant).

Demonstrates leadership ability.

Has significant experience in journalism, media, content creation, public administration, social work, law, education, or a related field.

Accepts the Constitution and Code of Ethics.

The Constitution may prescribe additional eligibility criteria.

ARTICLE 54

Appointment and Election

54.1 Founding Term

Until the first constitutional election, the Founder may serve as the Founder & National President or may appoint an Interim National President.

54.2 Regular Term

After registration and adoption of the electoral framework, the National President shall be elected in accordance with the Election Rules of the Association.

54.3 The tenure of the National President shall be Five (5) years, unless otherwise amended by the Constitution.

54.4 The National President shall be eligible for re-election, subject to the Constitution and applicable law.

ARTICLE 55

Oath of Office

Before assuming office, the National President shall affirm:

“I solemnly affirm that I shall faithfully uphold the Constitution of the All India Digital Media Journalist & Content Creator Association, protect its Vision, Mission and Objectives, discharge my duties honestly, fairly, transparently and without discrimination, and always act in the best interests of the Association and its members.”

ARTICLE 56

Executive Powers

The National President shall have the authority to:

Execute policies approved by the National Executive Council.

Supervise national administration.

Monitor State, District, and City Chapters.

Ensure implementation of constitutional provisions.

Maintain discipline.

Coordinate committees.

Represent the Association nationally.

Supervise national projects.

Convene official meetings.

Issue administrative instructions consistent with the Constitution.

ARTICLE 57

Administrative Powers

The National President may:

Approve routine administrative matters.

Appoint office staff.

Authorize official correspondence.

Approve operational policies.

Supervise membership administration.

Approve national programs.

Monitor organizational performance.

Delegate administrative responsibilities.

ARTICLE 58

Appointment Powers

Subject to this Constitution, the National President may recommend or appoint, as applicable:

National Secretaries

Financial Powers

The National President shall:

Review financial reports.

Ensure statutory compliance.

No expenditure beyond prescribed limits shall be incurred without approval of the competent authority.

ARTICLE 60

Representation Powers

The National President shall serve as the principal spokesperson of the Association and may:

Sign Memoranda of Understanding (MOUs) after required approvals.

Represent the Association in conferences.

Address national meetings.

Meet government officials.

Participate in policy consultations.

Represent the Association before media organizations.

Represent the Association in public functions.

ARTICLE 61

Emergency Administrative Powers

Where urgent administrative action is necessary to protect the Association’s interests, the National President may take interim decisions.

Such decisions shall:

Be recorded in writing.

Be reported to the National Executive Council.

Be placed for ratification at the earliest opportunity where required.

Emergency powers shall not be used to amend the Constitution or bypass mandatory governance procedures.

The National President shall supervise:

Committee appointments and functioning shall be governed by this Constitution.

ARTICLE 67

Delegation of Powers

The National President may delegate specified administrative powers to:

Not transfer ultimate constitutional responsibility.

ARTICLE 68

Limitations on Executive Authority

The National President shall not:

Alter the Constitution except through the prescribed amendment procedure.

Dissolve the Association unilaterally.

Misuse Association funds.

Appoint or remove office bearers contrary to constitutional procedures.

Use Association property for personal benefit.

Act contrary to applicable law.

ARTICLE 69

Accountability

The National President shall remain accountable to:

The Constitution.

The General Body.

The National Executive Council.

Applicable laws.

The National President shall present:

Annual Activity Report.

Financial Overview.

Strategic Progress Report.

Membership Growth Report.

ARTICLE 70

Vacancy in Office

The office of the National President shall become vacant upon:

Expiry of term.

Resignation.

Death.

Permanent incapacity.

Removal under the Constitution.

Disqualification under applicable law.

Pending appointment or election of a successor, the Constitution shall govern interim arrangements.

ARTICLE 71

Acting National President

In the temporary absence of the National President:

The Senior Vice President or

A Vice President authorized by the Constitution or the Executive Council

shall discharge routine executive functions until the National President resumes office or a successor assumes office.

The Acting National President shall not exercise powers expressly reserved to the National President unless specifically authorized by this Constitution.

ARTICLE 72

Resignation

The National President may resign by submitting a written resignation to the National Executive Council.

The resignation shall take effect upon acceptance or on the date specified in the resignation, whichever is earlier, unless the Constitution provides otherwise.

ARTICLE 73

Removal

The National President may be removed only:

For gross misconduct.

Proven financial irregularities.

Serious constitutional violations.

Criminal conviction affecting the office, subject to applicable law.

Persistent abuse of office.

Removal shall require:

Written charges.

Notice and opportunity to respond.

Fair inquiry.

Decision by the competent constitutional authority with the prescribed majority.

ARTICLE 74

Code of Conduct

The National President shall:

Maintain integrity.

Avoid conflicts of interest.

Act impartially.

Protect confidential information.

Respect all members.

Promote ethical journalism.

Ensure transparency.

Avoid misuse of authority.

Uphold the reputation of the Association.

ARTICLE 75

Constitutional Relationship with the Founder

75.1 The National President shall respect the constitutional position of the Founder as provided in Chapter 3.

75.2 Where the Founder serves as National President, both roles shall vest in the same individual and be exercised in accordance with this Constitution.

75.3 Where the Founder and National President are different individuals, they shall work cooperatively to advance the Association’s Vision, Mission, and Objectives, while respecting their respective constitutional roles.

NATIONAL EXECUTIVE COUNCIL (NEC)

ARTICLE 76

Establishment of the National Executive Council

76.1 There shall be a National Executive Council (NEC), which shall be the highest executive and administrative governing body of the Association after the General Body.

76.2 The National Executive Council shall be responsible for implementing the Constitution, policies, strategic plans, and resolutions of the Association.

76.3 The Council shall function collectively and shall exercise its authority in accordance with this Constitution, the Bylaws, and applicable laws.

76.4 The National Executive Council shall be accountable to the General Body of the Association.

Composition of the National Executive Council

The National Executive Council shall ordinarily consist of:

e. Establish State Chapters.

f. Approve District Chapters.

g. Approve Annual Budget.

h. Approve National Projects.

i. Establish Departments.

n. Protect Association Assets.

Quorum

ARTICLE 101

Relationship with the National President

The National Executive Council shall function under the leadership of the National President.

The President shall:

Coordinate Executive Members.

Ensure effective administration.

ARTICLE 102

Protection of Collective Governance

No individual member of the National Executive Council, including the National President, shall exercise powers reserved to the Council acting collectively, except where expressly authorized by this Constitution or by a duly passed resolution of the Council.

ARTICLE 103

Constitutional Responsibility

The National Executive Council shall be collectively responsible for:

Growth of the Association.

Good governance.

Financial integrity.

Transparency.

Constitutional compliance.

Protection of members’ interests.

Achievement of the Vision and Mission of AIDMJCCA.

CHAPTER 6

GENERAL BODY

Supreme Governing Authority of the Association

ARTICLE 104

Establishment of the General Body

104.1 There shall be a General Body of the Association, which shall be the supreme constitutional authority of DMJCCA.

104.2 The General Body shall consist of all eligible members whose membership is valid and active under this Constitution.

104.3 The General Body shall exercise its powers collectively and in accordance with this Constitution, the Bylaws, and applicable laws.

104.4 The decisions of the General Body shall be binding upon all office bearers, committees, chapters, and members, subject to this Constitution.

Composition of the General Body

The General Body shall comprise:

ARTICLE 106

Powers of the General Body

The General Body shall have the authority to:

a. Approve or amend the Constitution.

b. Elect National Office Bearers in accordance with the Election Rules.

c. Approve Annual Reports.

d. Consider Annual Financial Statements.

e. Approve major policy directions.

f. Ratify significant constitutional decisions of the National Executive Council where required.

g. Approve dissolution of the Association in accordance with this Constitution.

h. Consider appeals on matters specifically referred to it under this Constitution.

i. Deliberate upon matters affecting the long-term interests of the Association.

ARTICLE 107

Rights of Members in the General Body

Eligible members of the General Body shall have the right to:

Attend General Body Meetings.

Participate in discussions.

Vote on matters where entitled.

Contest elections subject to eligibility.

Seek information regarding the functioning of the Association.

Submit resolutions in accordance with prescribed procedures.

Propose suggestions for improvement.

Receive copies of Annual Reports and audited financial statements.

ARTICLE 108

Responsibilities of Members

Members participating in the General Body shall:

Uphold the Constitution.

Respect the decisions of the Chair.

Maintain decorum during meetings.

Participate responsibly.

Avoid disruption.

Act in the best interests of the Association.

Protect confidential information where applicable.

ARTICLE 109

Annual General Meeting (AGM)

109.1 The Association shall convene one Annual General Meeting (AGM) every financial year.

109.2 The AGM shall ordinarily be held within six months after the close of the financial year or within the period permitted under applicable law.

109.3 The AGM shall be the principal meeting of the General Body.

ARTICLE 110

Business of the Annual General Meeting

The AGM shall ordinarily consider:

Confirmation of previous AGM minutes.

Annual Report of the National President.

Report of the Secretary General.

Audited Financial Statements.

Auditor’s Report.

Membership Report.

Activities Report.

Strategic Plan.

Budget Proposal.

Appointment of Auditor (where applicable).

Constitutional matters.

Other business included in the agenda.

ARTICLE 111

Extraordinary General Meeting (EGM)

An Extraordinary General Meeting may be convened:

By the National President.

By the National Executive Council.

Upon a written request by not less than one-fifth (20%) of the eligible voting members or such other proportion as prescribed by law.

The notice shall clearly specify the purpose of the meeting.

ARTICLE 112

Notice of General Meetings

Notice shall ordinarily be issued:

Annual General Meeting:

Minimum 30 Days.

Extraordinary General Meeting:

Minimum 15 Days.

Emergency General Meeting:

Minimum 7 Days or such shorter period as circumstances reasonably require.

ARTICLE 113

Quorum

The quorum for a General Body Meeting shall be:

One-fourth (1/4) of the eligible voting members or Fifty (50) voting members, whichever is lower, unless otherwise required by applicable law.

If the quorum is not present within thirty minutes of the scheduled time, the meeting may be adjourned and reconvened in accordance with the Bylaws.

ARTICLE 114

Chairing the Meeting

The General Body Meeting shall be chaired by:

National President

In the absence of the National President:

Working President

Thereafter:

Senior Vice President

If none are available, the members present may elect a Chairperson for that meeting.

ARTICLE 115

Agenda

The agenda shall be prepared by the Secretary General with the approval of the National President.

Additional agenda items may be included with the approval of the Chair or by a resolution of the General Body.

ARTICLE 116

Voting

Every eligible voting member shall have one vote.

Voting may be conducted through:

Decisions shall ordinarily be passed by Simple Majority unless otherwise provided.

ARTICLE 117

Special Resolution

The following matters shall require a Two-Thirds (2/3) majority of members present and voting:

Dissolution of the Association.

Merger with another organization.

Removal of National Office Bearers where the Constitution so requires.

Disposal of major Association assets.

ARTICLE 120

Right to Submit Proposals

Any eligible member may submit proposals for consideration, provided they are received by the Secretary General at least fifteen days before the meeting unless the Chair permits otherwise.

ARTICLE 121

Participation Through Digital Platforms

The Association may permit participation through:

Video Conferencing.

Secure Digital Platforms.

Online Voting Systems.

Hybrid Meetings.

Members participating electronically shall be deemed present for quorum purposes where permitted.

ARTICLE 122

Observer Participation

Experts, legal advisors, government officials, media representatives, sponsors, or invited guests may attend General Body Meetings as observers with the permission of the National Executive Council.

Observers shall not have voting rights.

ARTICLE 123

Code of Conduct During Meetings

Members shall:

Respect the Chair.

Speak only when recognized.

Maintain dignity.

Avoid personal attacks.

Avoid abusive language.

Follow parliamentary procedure adopted by the Association.

Respect democratic decisions.

Persistent misconduct may result in removal from the meeting.

ARTICLE 124

Annual Accountability

The General Body shall review:

Membership Growth.

National Projects.

Financial Position.

Legal Compliance.

Committee Performance.

State Chapter Performance.

District Chapter Performance.

Strategic Goals.

Future Plans.

The General Body may issue recommendations to the National Executive Council.

ARTICLE 125

Relationship with the Founder

125.1 The Founder shall be accorded the highest ceremonial precedence in all meetings of the General Body.

125.2 The Founder may address the General Body on matters concerning the Association’s Vision, Mission, constitutional values, and long-term strategy.

125.3 The Founder’s observations on constitutional or foundational matters shall be recorded in the minutes and duly considered by the General Body before taking a final decision.

ARTICLE 126

Relationship with the National Executive Council

The National Executive Council shall:

Present reports.

Explain policies.

Answer members’ questions.

Seek approval where required.

Implement General Body decisions.

ARTICLE 127

Transparency

The proceedings of the General Body shall be conducted in a transparent and accountable manner.

Members shall have reasonable access to approved records, reports, and resolutions, subject to confidentiality requirements.

ARTICLE 128

Constitutional Authority

The General Body shall remain the supreme democratic authority of the Association.

No Executive Body or Office Bearer shall override a lawful decision of the General Body except where such decision is inconsistent with this Constitution or applicable law.

ARTICLE 129

Saving Clause

Any procedural matter not specifically covered in this Chapter shall be governed by:

The Bylaws.

Rules framed by the National Executive Council.

Applicable law.

Accepted principles of democratic governance.

ARTICLE 130

Objective of the General Body

The General Body exists to ensure:

Democratic participation.

Accountability.

Transparency.

Member representation.

Constitutional governance.

Sustainable growth of the Association.

Protection of the Association’s Vision, Mission, and Objectives.

CHAPTER 7

MEMBERSHIP

Categories, Eligibility, Rights, Duties, Registration, Suspension & Termination

Constitution of the Digital Media Journalist & Content Creator Association (DMJCCA)

ARTICLE 131

Membership of the Association

131.1 Membership of the Association shall be open to eligible individuals engaged in Digital Journalism, Social Media Journalism, Digital Content Creation, Media Technology, Communication, and allied professions who accept the Constitution, Bylaws, and Code of Ethics of the Association.

131.2 Membership shall be voluntary and shall not create any employer-employee relationship between the Association and the Member.

131.3 Membership shall not confer any governmental recognition, statutory authority, or legal accreditation unless expressly provided by applicable law.

131.4 Every member shall be bound by the Constitution, Rules, Bylaws, Policies, and decisions of the Association.

ARTICLE 132

Objectives of Membership

Membership is established to:

Unite India’s Digital Media Community.

Promote ethical journalism.

Encourage responsible content creation.

Develop professional skills.

Build networking opportunities.

Promote legal awareness.

Facilitate national collaboration.

Encourage innovation.

Protect the dignity of digital media professionals.

Build a strong professional community.

ARTICLE 133

Membership Categories

The Association may grant the following categories of membership:

(A) Founder

Permanent constitutional position.

(B) Founder Member

Individuals who joined the Association during its establishment phase before official registration.

(C) Professional Member

Digital Journalists, Social Media Journalists, Content Creators and media professionals approved by the Membership Committee.

(D) Life Member

Members who obtain Life Membership upon payment of the prescribed fee (if introduced).

(E) Student Member

Students pursuing Journalism, Mass Communication, Digital Media, Film, Communication, or related courses.

Student Members shall not ordinarily possess voting rights unless otherwise approved.

(F) Institutional Member

Media organizations, educational institutions, creator communities, NGOs, startups, or companies admitted by the National Executive Council.

Institutional Membership shall not automatically confer voting rights.

(G) Honorary Member

Individuals who have made distinguished contributions to journalism, media, education, law, technology, public service, or society.

Honorary Members shall not ordinarily have voting rights.

(H) Patron Member

Individuals or organizations providing substantial support to the Association.

(I) Corporate Member

Corporate organizations associated with media, technology, communication, education, or digital innovation.

ARTICLE 134

Eligibility for Membership

An applicant shall ordinarily:

Be at least 18 years of age (except Student Members).

Accept the Constitution and Code of Ethics.

Provide genuine identity details.

Submit truthful information.

Not have been permanently expelled from the Association.

Fulfill membership requirements prescribed by the Association.

The National Executive Council may prescribe additional eligibility criteria.

Approval of Membership

138.1 Membership shall be approved by the Membership Committee or an authority authorized by the National Executive Council.

138.2 The Association reserves the right to accept, reject, or defer any application, provided that decisions are made fairly and without unlawful discrimination.

138.3 Rejected applicants may reapply after rectifying deficiencies or appeal in accordance with the procedures prescribed by the Association.

Duties of Members

Every member shall:

Maintain confidentiality where necessary.

ARTICLE 145

Membership Obligations

Members shall:

Membership Fees

146.1 The National Executive Council may prescribe:

146.2 At the launch stage, the Founder and National Executive Council may offer Free Membership for a specified period.

146.3 Fee structures may be revised from time to time by resolution of the National Executive Council.

ARTICLE 147

Suspension of Membership

Membership may be suspended for:

Misconduct.

Fake News.

Hate Speech.

Criminal Activity affecting the Association.

Misuse of Membership Card.

Fraudulent Documents.

Constitutional Violations.

Non-payment of dues (where applicable).

No suspension shall be imposed without notice and an opportunity to be heard, except in cases requiring immediate interim action to protect the Association.

ARTICLE 148

Termination of Membership

Membership may cease due to:

Resignation.

Death.

Expulsion.

Fraud.

False Information.

Permanent Disqualification.

Dissolution of Institutional Membership.

Any other ground specified by this Constitution.

ARTICLE 149

Resignation

A member may resign by submitting written notice.

The resignation shall become effective upon acceptance or as otherwise provided by the Bylaws.

Outstanding obligations, if any, shall survive resignation.

ARTICLE 150

Restoration of Membership

A former member may apply for restoration.

The Membership Committee may recommend restoration subject to:

Transferability

Membership is:

Misuse of Membership

Appeals

Any member aggrieved by:

ARTICLE 155

Non-Transfer of Rights

Membership shall not create:

Ownership rights in Association property.

Rights to financial profit or dividends.

Rights to represent the Association without authorization.

Rights over the Association’s intellectual property.

Membership Oath

Every approved member shall affirm:

“I voluntarily become a member of the Digital Media Journalist & Content Creator Association (DMJCCA). I pledge to uphold the Constitution, follow the Code of Ethics, respect the dignity of journalism and content creation, promote truth, integrity, and responsible digital communication, and work for the growth and reputation of the Association.”

ARTICLE 157

Interpretation

The National Executive Council shall frame detailed Membership Rules consistent with this Constitution.

In case of doubt regarding membership matters, the provisions of this Constitution shall prevail.

ARTICLE 158

Constitutional Objective of Membership

The membership framework of DMJCCA is intended to build a united, ethical, skilled, and nationally connected community of Digital Journalists and Content Creators, fostering professionalism, collaboration, and responsible digital communication while protecting the integrity and reputation of the Association.

National Office Bearers

159.1 The Association shall have the following National Office Bearers for the effective administration and governance of DMJCCA.

159.2 The National Office Bearers shall collectively function under the leadership of the National President and in accordance with this Constitution.

159.3 Every Office Bearer shall act honestly, transparently, professionally, and in the best interests of the Association.

Appointment

161.1 During the Founding Period, all National Office Bearers shall be appointed by the Founder.

161.2 After constitutional elections commence, Office Bearers shall be elected or appointed in accordance with this Constitution.

161.3 Every appointment shall be made on merit, integrity, professional capability, and commitment to the objectives of the Association.

ARTICLE 162

Tenure

162.1 The tenure of National Office Bearers shall ordinarily be Five (5) Years.

162.2 Office Bearers may be re-appointed or re-elected unless otherwise restricted by this Constitution.

162.3 Every Office Bearer shall continue until his/her successor assumes office.

ARTICLE 163

Oath of Office

Every National Office Bearer shall take the following oath before assuming office:

“I solemnly affirm that I shall faithfully discharge my duties as an Office Bearer of the All India Digital Media Journalist & Content Creator Association (AIDMJCCA). I shall uphold the Constitution, protect the interests of the Association and its members, maintain integrity, transparency, professionalism, and always work for the growth and reputation of the Association.”

ARTICLE 164

Working President

The Working President shall:

Assist the National President.

Coordinate National Programs.

Monitor implementation of projects.

Supervise organizational activities.

Act on delegated authority.

Perform duties assigned by the National President.

In absence of the National President, the Working President may perform executive duties as authorized by the Constitution.

Senior Vice President

The Senior Vice President shall:

Assist the National President.

Coordinate all Vice Presidents.

Monitor State Chapters.

Review administrative performance.

Chair meetings in absence of the President and Working President.

Perform additional duties assigned by the President.

Suspension

An Office Bearer may be suspended for:

No suspension shall be imposed without due process, except for interim suspension where immediate action is necessary.

Removal

Resignation

An Office Bearer may resign by submitting a written resignation to the National President or, in the case of the National President, to the National Executive Council.

Resignation shall take effect in accordance with the Constitution.

Vacancy

A vacancy shall arise due to:

Establishment of State Chapters

195.1 The Association may establish a State Chapter in every State and Union Territory of India to strengthen the organizational presence of DMJCCA.

195.2 Each State Chapter shall function under the authority of the National Executive Council and in accordance with this Constitution.

195.3 A State Chapter shall not be considered an independent legal entity unless separately approved by the National Executive Council and permitted by applicable law.

195.4 Every State Chapter shall faithfully implement the Vision, Mission, Objectives, Constitution, Policies, and Directives of DMJCCA.

ARTICLE 196

Jurisdiction

196.1 Each State Executive Council shall exercise jurisdiction only within its respective State or Union Territory.

196.2 No State Chapter shall interfere in the administration of another State Chapter without prior approval of the National Executive Council.

DISTRICT EXECUTIVE COUNCIL

ARTICLE 227

Establishment of District Chapters

227.1 The Association may establish a District Executive Council (DEC) in every district of India to strengthen grassroots representation and organizational outreach.

227.2 Every District Executive Council shall function under the administrative supervision of the respective State Executive Council and the overall authority of the National Executive Council.

227.3 A District Chapter shall not function as an independent legal entity and shall remain an integral part of DMJCCA.

227.4 No person shall establish or operate a District Chapter without written approval from the National Headquarters.

ARTICLE 228

Jurisdiction

228.1 The jurisdiction of a District Executive Council shall be limited to the geographical boundaries of the district for which it has been constituted.

Objective of this Chapter

The Standing Committees and Specialized Departments constitute the functional backbone of DMJCCA. Their objective is to ensure efficient administration, transparent governance, professional development, ethical standards, legal awareness, technological advancement, member welfare, and institutional growth. Through specialized expertise and coordinated action, these Committees shall support the National Executive Council in achieving the Association’s Vision, Mission, and long-term strategic objectives while serving the interests of Digital Journalists and Content Creators across India.

CHAPTER 13

ELECTIONS & ELECTORAL COMMISSION

ARTICLE 326

Democratic Principles

326.1 The Association shall uphold democratic principles in the election of its Office Bearers after completion of the Founding Phase.

326.2 Elections shall be conducted in a free, fair, transparent, impartial, and democratic manner.

326.3 Every eligible voting member shall have equal voting rights in accordance with this Constitution.

326.4 No election shall be conducted in violation of this Constitution.

ARTICLE 327

Founding Phase Exception

327.1 Considering that the Association is a newly established national organization, all National, State, District and Local Office Bearers shall initially be appointed by the Founder through the National President.

327.2 This Founding Phase shall continue until the National Executive Council determines that the Association has achieved sufficient organizational maturity.

327.3 The Founding Phase shall ordinarily continue until the Association has:

Established chapters in at least 15 States/UTs;

Enrolled not less than 10,000 verified members;

Successfully completed organizational expansion across multiple districts.

327.4 The Founder may, with the approval of the National Executive Council, extend the Founding Phase if necessary in the best interests of the Association.

327.5 During the Founding Phase, appointments shall have the same constitutional validity as elected positions.

ARTICLE 328

Establishment of National Election Commission

328.1 There shall be an independent National Election Commission (NEC).

328.2 The Election Commission shall function independently and impartially.

328.3 No Executive Office Bearer shall interfere in the election process.

Composition of Election Commission

Founder’s Constitutional Authority

357.1 Notwithstanding anything contained elsewhere in this Constitution, during the Founding Phase, the Founder shall have the authority to approve or defer the conduct of elections where organizational stability, legal compliance, or national interest of the Association so requires.

357.2 Such authority shall cease upon the formal conclusion of the Founding Phase as declared by the National Executive Council.

No Office Bearer or Member shall:

Commit financial fraud.

Violation shall constitute serious misconduct and may result in disciplinary action, recovery of losses, removal from office, and legal proceedings where appropriate.

ARTICLE 384

Reimbursement

Office Bearers may receive reimbursement of genuine, reasonable, and approved expenses incurred for official Association work upon submission of supporting documents and approval under the Financial Policy.

Reimbursement shall not be construed as salary or profit.

Honorarium and Employment

The Association may appoint employees, consultants, professionals, or advisors and may pay reasonable honorarium, salary, consultancy fees, or professional charges where approved by the National Executive Council and permitted by law.

Office Bearers shall not receive remuneration solely by virtue of holding office unless specifically approved in accordance with applicable law and the Association’s policies.

Every Office Bearer shall:

Records Retention

Dissolution of Assets

In the event of dissolution, all remaining assets, after satisfaction of lawful liabilities, shall be transferred to another registered charitable society, trust, or not-for-profit organization having similar objectives, in accordance with applicable law.

No member, office bearer, Founder, or National President shall be entitled to any distribution of the Association’s surplus assets.

Conflict of Interest

Any Office Bearer having a direct or indirect financial interest in a proposed transaction shall disclose such interest and abstain from participating in the related decision-making process.

ARTICLE 401

Preliminary Scrutiny

Frivolous or malicious complaints may be dismissed with recorded reasons.

Mediation

Authority to Impose Penalties

Disciplinary powers shall ordinarily vest as follows:

ARTICLE 409

Special Protection for Founder & National President

409.1 Owing to the constitutional role of the Founder and the National President in safeguarding the long-term vision and institutional stability of the Association, no motion seeking their suspension or removal shall be initiated except under the procedure prescribed in this Article.

409.2 Any allegation against the Founder or the National President shall first be examined by an Independent Constitutional Review Panel appointed by the National Advisory Council.

409.3 Proceedings shall be initiated only where there is clear and substantial evidence of:

Financial fraud,

Gross abuse of constitutional authority,

Serious criminal misconduct, or

Wilful violation of this Constitution.

409.4 No interim suspension of the Founder shall be permitted except pursuant to a resolution supported by not less than three-fourths (3/4) of the total strength of the National Executive Council and confirmed by a Special General Body Meeting.

409.5 Nothing in this Article shall exempt any office bearer from accountability under applicable law.

ARTICLE 410

Appeal

A person aggrieved by a disciplinary order may file an appeal within 30 Days.

Appeals shall ordinarily lie:

Local → District

District → State

State → National

National → National Appellate Committee

The appellate authority may:

Confirm.

Modify.

Set aside.

Remand.

ARTICLE 411

National Appellate Committee

The National Executive Council shall constitute a National Appellate Committee.

The Committee shall:

Hear appeals.

Review evidence.

Ensure fairness.

Pass final constitutional orders.

ARTICLE 412

Whistleblower Protection

Members reporting genuine misconduct in good faith shall not be subjected to retaliation.

Knowingly false or malicious complaints shall themselves constitute misconduct.

ARTICLE 413

Confidentiality

All disciplinary proceedings shall remain confidential until final orders are issued, except where disclosure is required by law or approved in the public interest.

ARTICLE 414

Restoration of Membership

A suspended or expelled member may apply for restoration after the period specified in the disciplinary order.

Restoration shall depend upon:

Conduct.

Compliance.

Genuine remorse.

Recommendation of the competent authority.

Permanent expulsion shall ordinarily not be reversible except by a Special Resolution of the National Executive Council.

ARTICLE 415

Record of Proceedings

The Association shall maintain records of:

Complaints.

Notices.

Replies.

Investigation Reports.

Orders.

Appeals.

Final Decisions.

Records shall ordinarily be preserved for eight (8) years.

ARTICLE 416

Civil and Criminal Proceedings

Disciplinary proceedings under this Constitution are independent of any civil or criminal proceedings before competent authorities.

The Association may cooperate with lawful investigations where required.

ARTICLE 417

Protection of Reputation

Members shall refrain from making false, defamatory, or malicious public statements against the Association or its members without first utilizing the internal grievance mechanisms, except where disclosure is protected by law.

ARTICLE 418

Saving Clause

Any disciplinary or grievance matter not expressly covered in this Chapter shall be governed by:

This Constitution.

Bylaws.

Rules framed by the National Executive Council.

Principles of Natural Justice.

Applicable laws of India.

ARTICLE 419

Objective of this Chapter

The objective of this Chapter is to preserve the integrity, credibility, discipline, and unity of AIDMJCCA by establishing a fair, transparent, and accountable framework for addressing misconduct, resolving disputes, protecting members’ rights, and ensuring that every disciplinary action is taken in accordance with constitutional principles and the rule of law.

ARTICLE 420

Supremacy of the Constitution

420.1 This Constitution shall be the supreme governing document of the All India Digital Media Journalist & Content Creator Association (DMJCCA).

420.2 Every Member, Office Bearer, Committee, Department, State Chapter, District Chapter, City/Taluka/Block Unit and affiliated body shall function strictly in accordance with this Constitution.

420.3 Any resolution, rule, policy, circular, order or decision inconsistent with this Constitution shall, to the extent of such inconsistency, be void.

ARTICLE 421

Power to Frame Rules

421.1 The National Executive Council may frame:

Rules

Regulations

Policies

Administrative Orders

Standing Orders

Financial Rules

Membership Rules

Election Rules

Service Rules

Digital Governance Policies

for effective implementation of this Constitution.

421.2 Such Rules shall not be inconsistent with this Constitution.

ARTICLE 422

Interpretation of Constitution

422.1 If any doubt arises regarding interpretation of any provision of this Constitution, the matter shall be referred to the National Executive Council.

422.2 The interpretation adopted by the National Executive Council shall remain operative unless modified by the General Body through a constitutional amendment.

422.3 While interpreting this Constitution, preference shall always be given to:

Organizational Stability

Public Interest

Democratic Governance

Natural Justice

Transparency

Constitutional Intent

ARTICLE 423

Constitutional Amendment

423.1 This Constitution may be amended only by the General Body.

423.2 Any amendment proposal shall:

Be submitted in writing.

Clearly specify proposed changes.

State reasons.

Be circulated before the meeting.

423.3 Constitutional amendments shall require approval of not less than Two-Thirds (2/3) of the members present and voting at a duly convened General Body Meeting.

423.4 Amendments affecting the Vision, Mission, Objectives, Name, Legal Status, or Dissolution of the Association shall additionally require prior recommendation of the National Executive Council.

ARTICLE 424

Founder Protection Clause

424.1 The Founder of the Association shall be recognized as the Founding Architect of DMJCCA.

424.2 During the lifetime of the Founder, no amendment shall:

Remove the Founder’s honorary status.

Alter the historical recognition of the Founder.

Remove the Founder’s authorship of the Constitution.

424.3 This Article shall not exempt the Founder from compliance with applicable law.

ARTICLE 425

National President Protection

425.1 The office of the National President shall remain the highest executive office of the Association.

425.2 No amendment shall substantially reduce the constitutional powers of the National President unless approved by:

Two-Thirds (2/3) of the National Executive Council; and

Two-Thirds (2/3) of the General Body.

425.3 This Article shall not prevent lawful accountability under this Constitution.

ARTICLE 426

Transitional Provisions

Until elections are introduced under Chapter 13:

Office Bearers shall be appointed.

Committees shall be nominated.

State Chapters shall be constituted administratively.

District Units shall be appointed.

Local Units shall be established by appointment.

These appointments shall remain constitutionally valid.

ARTICLE 427

Common Seal

427.1 The Association may adopt an Official Common Seal.

427.2 The Common Seal shall be used only with approval of the National President or an officer authorized by the National Executive Council.

427.3 Unauthorized use of the Seal shall constitute serious misconduct.

ARTICLE 428

Official Logo & Brand Identity

428.1 The Name, Logo, Emblem, Tagline, Design Elements, Membership Cards, Certificates, Website Content and Digital Assets of DMJCCA shall remain the exclusive intellectual property of the Association.

428.2 No person shall reproduce, modify, sell, or use these assets without written authorization.

428.3 The Association may register its trademarks, copyrights, domain names, and other intellectual property under applicable law.

ARTICLE 429

Official Language

429.1 The official working languages of the Association shall be:

English

Hindi

429.2 Regional languages may be used for State and Local Chapters where necessary.

429.3 In the event of any inconsistency, the English version of the Constitution shall ordinarily prevail unless otherwise resolved by the General Body.

ARTICLE 430

Electronic Governance

The Association may use digital systems for:

Membership.

Elections.

Meetings.

Digital Signatures.

Certificates.

QR Verification.

Online Payments.

Official Notices.

Video Conferences.

Digital Voting.

Electronic Record Keeping.

Electronic records shall have the same validity as physical records where permitted by applicable law.

ARTICLE 431

Notices

Official notices may be served through:

Registered Post.

Courier.

Email.

SMS.

WhatsApp.

Official Website.

Member Dashboard.

Service through electronic means shall be deemed valid where acknowledged or sent to the registered contact details.

ARTICLE 432

Indemnity

Every Office Bearer acting honestly, in good faith, and within the scope of authority shall be indemnified by the Association against lawful claims arising from bona fide official acts, except in cases involving fraud, wilful misconduct, gross negligence, or criminal acts.

ARTICLE 433

Records Preservation

The Association shall preserve:

Constitution.

Minutes.

Membership Registers.

Financial Records.

Election Records.

Property Records.

Legal Documents.

Digital Archives.

Records shall be maintained securely in physical and/or electronic form in accordance with applicable law.

ARTICLE 434

Affiliation

The Association may affiliate, collaborate, or enter into Memoranda of Understanding (MoUs) with:

Government Departments.

Educational Institutions.

Universities.

Media Organizations.

Professional Bodies.

NGOs.

International Organizations.

Technology Companies.

Such affiliations shall not compromise the independence or objectives of the Association.

ARTICLE 435

Legal Jurisdiction

Any legal proceedings relating to the internal affairs of the Association shall be subject to the jurisdiction of the competent courts at the place where the Registered Office of the Association is situated, subject to applicable law.

ARTICLE 436

Dissolution

436.1 The Association may be dissolved only in accordance with the provisions of the Societies Registration Act, 1860 (or the applicable State legislation) and other applicable laws.

436.2 A proposal for dissolution shall require:

Recommendation of the National Executive Council.

A Special General Body Meeting.

Approval by not less than Three-Fourths (3/4) of the members present and voting, or such higher threshold as required by law.

436.3 Notice of the meeting shall clearly specify the proposal for dissolution.

ARTICLE 437

Disposal of Assets

Upon dissolution:

All lawful liabilities shall first be discharged.

Remaining assets shall be transferred to another registered charitable society, trust, or not-for-profit organization having similar objectives, in accordance with applicable law.

No member, office bearer, Founder, or National President shall receive any share in the surplus assets.

ARTICLE 438

Residual Powers

Any matter not specifically provided for in this Constitution shall be decided by the National Executive Council, provided such decision is not inconsistent with this Constitution or applicable law.

Such decisions shall remain effective until modified by the General Body or incorporated through a constitutional amendment.

ARTICLE 439

Saving Clause

If any provision of this Constitution is declared invalid or unenforceable by a competent court, the remaining provisions shall continue to remain valid and enforceable to the fullest extent permitted by law.

ARTICLE 440

Constitutional Oath

Every Office Bearer shall, before assuming office, make the following declaration:

“I solemnly affirm that I shall faithfully uphold the Constitution of the Digital Media Journalist & Content Creator Association (DMJCCA), discharge my duties honestly, ethically, and impartially, protect the interests of the Association and its members, maintain confidentiality where required, and work for the advancement of responsible digital journalism and content creation in India.”

ARTICLE 441

Adoption of the Constitution

This Constitution shall come into force upon its approval and adoption by the Founding General Body of the Association and shall thereafter govern the affairs of DMJCCA, subject to registration under the applicable law and subsequent amendments made in accordance with this Constitution.

ARTICLE 442

Commencement

This Constitution shall be deemed to have commenced on the date resolved by the Founding General Body and shall remain in force until amended or replaced in accordance with its provisions.

ARTICLE 443

Objective of this Chapter

The objective of this Chapter is to provide the final legal and constitutional framework governing the interpretation, amendment, administration, continuity, and dissolution of DMJCCA. It ensures that the Association operates with institutional stability, legal certainty, and transparent governance while safeguarding its Vision, Mission, democratic structure, and long-term public purpose.
